Terms of Service

1. Acceptance of Terms

By creating an account on Cliq, subscribing to any plan, or connecting your Meta (Facebook/Instagram) account to the Paid Traffic Module, you declare that you have read, understood and fully accepted these Terms of Service and the Privacy Policy. If you disagree with any clause, do not use the platform.

2. Provider Identification

Instituto Innvicton Ltda, CNPJ 23.285.285/0001-50, headquartered in Itapema, SC, Brazil (hereinafter "Cliq").

3. Definitions

  • Platform: the Cliq system available at umcliq.com.br and cliq.factorya.com.br, including CRM, scheduling, marketing automation and the Paid Traffic Module
  • Customer: the natural or legal person who subscribes to Cliq
  • Lead: a natural person whose data is captured via Meta Lead Ads forms and delivered to the Customer's CRM
  • Paid Traffic Module: the feature that operates Meta Ads on the Customer's behalf, with explicit authorization

4. Registration and Account

The Customer is responsible for maintaining the confidentiality of their credentials and for all activities performed under their account. Cliq may suspend accounts with signs of fraudulent use, abuse or violation of these Terms.

5. Meta Connection (Paid Traffic Module)

By connecting their Meta account to Cliq via Facebook Login for Business, the Customer:

  • Expressly authorizes Cliq to operate campaigns, read insights, capture leads, and manage selected Pages and Ad Accounts within the scope of granted permissions
  • Acknowledges that Cliq stores long-lived access tokens encrypted at rest (AES-256-GCM) for continuous service operation
  • May revoke this authorization at any time by disconnecting the account in the Cliq panel or directly in the Meta Business Manager. Revocation interrupts the service immediately
  • Is the data controller for the personal data of generated leads, and Cliq acts as data processor under LGPD/GDPR

6. Plans and Payment

The Paid Traffic Module is billed in a hybrid model: a monthly base fee of BRL 297, plus 7% to 10% over media spend exceeding BRL 5,000 per month, with a monthly cap of BRL 2,500. Automatic billing via Asaas, with invoices issued by Innvicton.

Free trial of 14 days with a BRL 500 media spend cap. Automatic conversion to paid subscription on day 15, unless cancelled.

7. Cancellation

The Customer may cancel at any time via the panel or by emailing suporte@umcliq.com.br. There is no cancellation fee. After cancellation, Cliq retains data for 30 days for possible resumption and then initiates the deletion procedure according to the Privacy Policy.

8. Acceptable Use

It is forbidden to use the platform to:

  • Distribute illegal, fraudulent or misleading content, or content that violates Meta's Advertising Policies
  • Capture leads from people who have not explicitly consented
  • Sell, share or transfer leads to unauthorized third parties
  • Attempt to access other customers' data or exploit platform vulnerabilities
  • Operate campaigns for gambling, adult content, weapons or other categories prohibited by Meta without prior specific authorization

Violations result in immediate suspension and may lead to legal authority reports.

9. Limitation of Liability

Cliq operates as a technology tool and does not guarantee:

  • Specific advertising campaign results (lead volume, conversions, ROAS)
  • Approval of ads by Meta (Meta's exclusive decision)
  • Uninterrupted availability of Meta Marketing API or Webhooks
  • Quantity or quality of generated leads

In any case, Cliq's civil liability is limited to the amount paid by the Customer in the last 12 months.

10. Intellectual Property

All platform content (code, design, brand, texts, generated audios) is the exclusive property of Innvicton or licensed third parties. The Customer receives a non-exclusive, non-transferable license to use the platform during the contract term.

11. Customer Content

Materials sent by the Customer (photos, logos, ad texts) remain their property. The Customer grants Cliq a license to use such materials exclusively to operate the contracted service, including ad variation generation via AI when authorized.

12. Platform Updates

Cliq may evolve, add or discontinue features. Material changes are communicated 15 days in advance. Continued use after notification implies acceptance of changes.

13. Jurisdiction

The courts of Itapema, SC, Brazil are elected to resolve any disputes arising from these Terms, with express waiver of any other forum, however privileged.
